Company registration
Essentials
You’ll need to provide the company name, a description, and a business address in Bulgaria. We can assist with securing an address.
Capital
A minimum declared capital of 2 BGN (1 EUR) is required to start your company. Include the names of all shareholders along with their share capital. We recommend a capital of 100 BGN for EOODs and 500 BGN for OODs.
Identification
A valid passport is necessary for the registration process.

Essentials
You’ll need to provide the company form, a description, and a Bulgarian business address. We can assist with securing an address. Bulgarian citizens, foreign residents, and non-residents are all eligible to incorporate a Bulgarian company.
Director Requirements
A minimum of one director is required; this director does not need to be a Bulgarian citizen or resident, ideal for digital nomads. No local substance such as a physical director, secretary, or office is required, except a legal business address on the territory of Bulgaria.
Registration Options
Company or Freelancer registration can be executed outside or remotely via Power of Attorney within 5 business days, with an additional 10 business days required for VAT registration.

An international or European bank account is sufficient. A Bulgarian bank account is needed only during the founding process. We can assist with remote bank applications.
Capital Requirements
The minimum authorized share capital for a company is 2 BGN (1 EUR). We recommend at least 100 BGN for an EOOD and 500 BGN for an OOD. Shareholders can be a person or company alike.
vat obligations
VAT registration and monthly reporting are mandatory for businesses with an annual turnover exceeding 100,000 BGN (approximately 51,000 EUR).
Shareholders
Shareholders can be individuals or companies.
Tax Exemptions
Non-residents who earn income outside Bulgaria are not subject to local taxes.
